Position Summary

This position reports directly to the VP, Deputy General Counsel. Position is primarily responsible for legal support activities supporting litigation and IP.

Responsibilities

 

Responsibilities:

 

Supporting and partnering with Litigation and Intellectual Properties attorneys.

 

Responsibilities:

  • Assist with document gathering, review, and preparation of responses to third party requests for documentation directed to the company or its subsidiaries.
  • Performs other duties as assigned.
  • Support outside counsel with respect to litigation matters.

Contract Management:

  • Support for Operations (including Manufacturing, Facilities, etc.), Sales, Marketing, IT, R&D, HR, and QA/RA.
  • Review contracts to ensure compliance with legal and company requirements; summarize for VP, Deputy General Counsel; communicate with counterparties and company stakeholders to coordinate approvals and signature processing.
  • Draft, review, negotiate, and approve NDAs, MSAs, SOWs, Purchase Agreements, and other basic contracts and amendments.
  • Oversee contracts database data entry, maintenance, reporting and updates, and follow through with company stakeholders as necessary.

Education and Experience

Education and Experience:

  • BA/BS Degree or AA/Paralegal Certificate and/or equivalent combination of education and experience.
  • Minimum of 5 years corporate paralegal experience in a corporate legal department or law firm.
  • Strong negotiations, drafting, and contract management capabilities and corporate records experience preferred.

 

Skills/Competencies:

  • Strong working knowledge of contract management.
  • Well-developed legal research and contract reviews skills.
  • Strong verbal, written and interpersonal skills necessary to communicate at multiple levels inside and outside of organization.
  • Ability to take initiative, own areas of responsibility, work independently, adapt to changing priorities, and remain open to new learning.
  • Ability to work confidentially on sensitive issues with senior management and external 
  • Proficient with Microsoft Office suite and familiarity with web technologies.
